Pan American, por ejemplo, surgi\u00f3 de la uni\u00f3n de tres empresas a las que no les alcanzaba lo que ten\u00edan individualmente para establecer un servicio. United Airlines, como lo indica su nombre, naci\u00f3 de otra fusi\u00f3n y hubo muchos otros casos.<\/p>\n<p>Panagra (Pan American Grace Airways) fue un caso distinto, porque esta vez los accionistas fueron Pan American, una aerol\u00ednea y W.R.Grace, una naviera, que formaron una sinergia importante, porque la primera ten\u00eda el conocimiento aeron\u00e1utico y la segunda controlaba el movimiento comercial de buques en el litoral sudamericano del Pac\u00edfico. Las m\u00e1s notables fueron SCADTA (luego Avianca) y Mexicana. As\u00ed la empresa norteamericana pod\u00eda ofrecer a sus pasajeros un servicio muy extendido con un solo prestador real. El problema, que al principio no era problema porque era lo normal, era que en los viajes largos hab\u00eda que hacer cambios de avi\u00f3n seg\u00fan el tramo que se recorriera.<\/p>\n<p>Braniff Airways fue fundada por los hermanos Braniff en 1930 y se desarroll\u00f3 como una peque\u00f1a empresa local, en el centro de los Estados Unidos. Panagra ten\u00eda m\u00e1s conexiones y pod\u00eda vender pasajes en el Atl\u00e1ntico a trav\u00e9s de Pan American, pero Braniff era, adem\u00e1s, una aerol\u00ednea dom\u00e9stica de Estados Unidos, lo que le permit\u00eda ofrecer enlaces propios internos en ese pa\u00eds, algo que estaba vedado a su competidora (ver <a href=\"https:\/\/www.gacetaeronautica.com\/gaceta\/wp-101\/?p=15362\" target=\"_blank\">Braniff (II): Toda la pol\u00edtica aerocomercial norteamericana en un diminuto pie de p\u00e1gina<\/a>).<\/p>\n<p>A fines de los a\u00f1os cincuenta llegaron los jets y, al mismo tiempo, Grace inici\u00f3 un proceso de transici\u00f3n empresaria en el que perdi\u00f3 su inter\u00e9s por Panagra, por lo que ofreci\u00f3 en venta sus acciones a Pan American, que acept\u00f3 pagar 10.625.000 d\u00f3lares o 391.300 acciones de Pan American, a opci\u00f3n de Grace.<\/p>\n<p>Braniff se opuso a esta venta, ofreciendo por su parte veintid\u00f3s millones de d\u00f3lares por el total de las acciones de Panagra, pero su oferta no fue aceptada, con lo que Pan American accedi\u00f3 a ser el \u00fanico due\u00f1o de Panagra, en junio de 1963.<\/p>\n<p>Pero esta operaci\u00f3n nunca se perfeccion\u00f3 por problemas regulatorios y Braniff volvi\u00f3 a la carga, logrando a fines de 1965 comprar las acciones de Grace por quince millones de d\u00f3lares, con lo que pas\u00f3 a controlar la mitad del paquete de Panagra. Esta vez no hubo objeciones y tampoco las hubo a una oferta adicional que hizo Braniff por las acciones de Pan American.<\/p>\n<p>En marzo de 1966 lleg\u00f3 el acuerdo y Braniff, previo pago de otros quince millones, pas\u00f3 a ser el \u00fanico due\u00f1o de Panagra. El acuerdo entr\u00f3 en vigor el 1\u00ba de febrero de 1967, fecha en la que Panagra dej\u00f3 de operar como tal.<\/p>\n<p>El aviso que encabeza esta nota fue parte de la campa\u00f1a que inform\u00f3 de esta uni\u00f3n empresaria, que fue presentada como un matrimonio, m\u00e1s por conveniencia que por amor, que es lo que fue. Como parte de la fiesta, el presidente de Braniff, Harding Lawrence, lleg\u00f3 a Buenos Aires el 2 de febrero. La empresa tejana, a su vez, en ese momento se desprendi\u00f3 de sus Boeing 707 y configur\u00f3 su flota de largo alcance s\u00f3lo con equipo Douglas. En el corto radio se equip\u00f3 con Boeing 727 y \u2014cosa rara en una empresa norteamericana\u2014 BAC-111 de procedencia inglesa.<\/p>\n<p>La oferta de Braniff sum\u00f3 la de Panagra, con lo que consolid\u00f3 una posici\u00f3n muy importante en Am\u00e9rica del Sur, superior a la de cualquier competidor, que inclu\u00eda varios servicios de quinta libertad. Su principal problema inicial fue el alcance de los DC-8, que le imped\u00eda volar sin escalas entre Buenos Aires y Nueva York, algo que hac\u00edan Aerol\u00edneas Argentinas y Pan American.
